
MASOLIVER GROUP provides a communication channel, the Whistleblowing Channel, which forms part of the Internal Information System implemented by the Directors, for the purpose of reporting actual or potential irregularities, breaches or regulatory infringements referred to in this section, in compliance with Law 2/2023 of 20 February on the protection of persons reporting regulatory infringements and combating corruption.
The Ethical Channel is open to all members of MASOLIVER GROUP and to the categories of people referred to in Article 3 of Law 2/2023, under the terms established therein, for reporting the following types of information:
Any breach or risk of breach of the Ethical Code, as well as any internal or external regulations implementing it, including matters relating to the MASOLIVER GROUP Crime Prevention Model.
Actions or omissions which, within the personal and material scope of application of Law 2/2023 of 20 February on the protection of people reporting regulatory infringements and combating corruption, may constitute infringements of European Union law.
Serious or very serious criminal or administrative offences (Article 2 of Law 2/2023 of 20 February).
All communications submitted through this channel shall be received and handled diligently and respectfully by the Compliance Officer, who has been appointed as the Head of the Internal Information System of MASOLIVER GROUP.
The Head of the Internal Information System shall always act in accordance with the internal procedure established for this purpose, as well as in compliance with the applicable internal and external regulations governing this matter.
MASOLIVER GROUP strictly guarantees the confidentiality of communications submitted in good faith and based on reasonable grounds, prohibits any form of retaliation and ensures compliance with personal data protection regulations.
What events can be reported?
You can report through the Ethics Channel any events that you consider may constitute a breach of legal regulations, the Code of Ethics, or any internal regulations in force, such as:
Conduct related to fraud and corruption.
Conduct related to occupational health, safety, and hygiene.
Discrimination and harassment in the workplace.
Conduct relating to information security, data protection, and securities markets.
Anti-competitive practices.
Conduct contrary to human rights or harmful to the environment.
Other possible criminal or administrative offenses.
Key features:
Confidentiality: We understand that confidentiality is essential to encourage people to report concerns. We guarantee absolute confidentiality throughout the process and protect the identity of the person reporting the concern to the extent permitted by law. This includes the option of reporting anonymously.
Impartial investigation process: Once a complaint is filed, our team of experts will thoroughly investigate the matter in an objective and diligent manner in accordance with internal regulations and applicable legislation. Throughout the process, the rights of those involved must be respected, in particular the presumption of innocence.
Protection against retaliation: We will not tolerate any form of retaliation against individuals who report in good faith. We are committed to safeguarding the rights and integrity of those who dare to report any irregularities. We will take appropriate disciplinary action against any individual who retaliates against a whistleblower.
Resolution and follow-up: Once the investigation is complete, we will take the necessary actions to address the identified problem and, where possible, take corrective measures to prevent future violations. In addition, we are committed to keeping the reporting person informed about the progress and resolution of their report, whenever possible and permitted by law.
Communication

Any breach or non-compliance with this Code of Ethics and the regulations implementing it may result in the initiation of disciplinary proceedings and, where appropriate, depending on the seriousness of the facts investigated, the application of the disciplinary regime established in the Estatuto de trabajadores and the collective bargaining agreements applicable to MASOLIVER GROUP.
